Introduction

1.1 These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Passenger”, or “Driver”, as the case may be) and RideAlong Limited, a private company duly incorporated under the laws of the Federal Republic of Nigeria (“RideAlong”, “we”, “our” or “us”).

1.2 The Terms govern your access to, and use of, the digital platform operated at www.ridealongcar.com , together with the associated mobile application and any ancillary services offered thereon (collectively, the “Platform”).

1.3 By creating an account, accessing the Platform, posting a ride, booking a seat, or otherwise using any Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately cease use of the Platform.

2. DEFINITIONS

For the purpose of these Terms, the following expressions shall have the meanings ascribed to them below:

“Account” means a registered user profile created on the Platform.

“Booking” means the reservation of a Seat by a Passenger on a Trip through the Platform.

“Cost Contribution” means the monetary contribution requested by a Driver from Passengers to share travel expenses for a Trip.

“Driver” means a User who posts a Trip on the Platform and offers one or more Seats.

“Passenger” means a User who reserves or occupies a Seat on a Trip offered by a Driver.

“Seat” means an individual passenger space offered in a Driver’s vehicle.

“Services” means all functions provided by RideAlong via the Platform, including ride-sharing facilitation, payments, and support features.

“Trip” means any journey published on the Platform by a Driver and undertaken with Passengers.

3. ELIGIBILITY AND ACCOUNT CREATION

3.1 Only individuals aged 18 years or older, with full legal capacity under Nigerian law, may create an Account and use the Platform.

3.2 By registering, you represent and warrant that all information provided is true, accurate, current, and complete. You further undertake to promptly update such information where necessary.

3.3 You are solely responsible for maintaining the confidentiality of your login credentials. RideAlong shall not be liable for unauthorised access to your Account occasioned by your negligence.

4. VERIFICATION AND TRUST MEASURES

4.1 In order to enhance trust, RideAlong may verify User identity and documentation (including but not limited to national ID, driver’s licence, or proof of insurance).

4.2 Verification is limited in scope and does not constitute a warranty of authenticity. RideAlong disclaims liability for reliance placed on verified information.

5. USE OF THE PLATFORM

5.1 The Platform is intended solely to facilitate non-commercial cost-sharing arrangements between private individuals. Drivers shall not utilise the Platform for professional carriage, taxi services, or profit-making activities.

5.2 Users undertake not to:

(a) post false, misleading, or fraudulent information;

(b) circumvent the Platform in order to avoid payment of Service Fees;

(c) harass, abuse, or endanger any User;

(d) upload unlawful or defamatory content;

(e) use the Platform for commercial transportation without written approval.

5.3 RideAlong reserves the right to suspend, restrict, or terminate any Account found in breach of these provisions.

6. POSTING RIDES AND BOOKING SEATS

6.1 Drivers shall provide accurate details of proposed Trips, including departure and arrival points, estimated timings, available Seats, Cost Contribution, and any conditions relevant to the Trip.

6.2 Passengers may request Bookings subject to availability. A Booking shall be deemed binding once confirmed by the Platform and payment obligations (if any) are satisfied.

6.3 RideAlong retains discretion to decline, suspend, or remove any Trip posting that contravenes these Terms or Nigerian law.

7. PAYMENTS AND FEES

7.1 Certain Services are subject to fees payable to RideAlong (“Service Fees”), which shall be communicated transparently to Users at the point of Booking.

7.2 Payments of Cost Contributions and Service Fees shall be processed via licensed payment service providers authorised by the Central Bank of Nigeria (CBN). RideAlong does not itself operate as a bank or payment service provider.

7.3 RideAlong may, at its discretion, hold Cost Contributions in escrow pending completion of a Trip, after which payment shall be disbursed to the Driver net of any applicable Service Fees.

7.4 Users agree to comply with any KYC (Know Your Customer) and AML (Anti-Money Laundering) requirements imposed by Nigerian law or RideAlong’s payment partners.

8. DRIVER OBLIGATIONS

8.1 Each Driver warrants and represents that:

(a) he or she holds a valid Nigerian driving licence appropriate for the vehicle;

(b) the vehicle is roadworthy and properly insured in accordance with the Motor Vehicles (Third Party Insurance) Act and the Insurance Act;

(c) he or she will at all times comply with Nigerian traffic laws and regulations, including directives of the Federal Road Safety Corps (FRSC);

(d) he or she will not engage in reckless, negligent, or impaired driving.

8.2 Drivers are solely responsible for ensuring their vehicle is fit for carriage and that Passengers are treated with respect and safety.

9. PASSENGER OBLIGATIONS

9.1 Passengers shall:

(a) act with courtesy and respect towards Drivers and fellow Passengers;

(b) arrive promptly at the agreed pick-up location;

(c) refrain from carrying unlawful, hazardous, or excessively bulky items;

(d) comply with reasonable rules set by the Driver for the Trip.

10. CANCELLATIONS AND REFUNDS

10.1 Cancellations by either Driver or Passenger must be made in accordance with the cancellation policy published on the Platform.

10.2 Where a Driver cancels a Trip without reasonable cause, RideAlong may issue a refund to the Passenger and impose sanctions on the Driver’s Account.

10.3 Refunds, if approved, shall be processed using the same payment method employed for the original transaction, less any applicable Service Fees.

11. INSURANCE AND LIABILITY

11.1 RideAlong is not a transport operator and does not own or control vehicles used on Trips. Responsibility for insurance rests solely with the Driver.

11.2 RideAlong disclaims liability for any personal injury, property damage, loss, or death occurring during a Trip, save to the extent such liability cannot lawfully be excluded under Nigerian law.

11.3 Passengers are strongly encouraged to verify the Driver’s insurance cover prior to embarking on a Trip.

12. DATA PROTECTION AND PRIVACY

12.1 RideAlong processes personal data in accordance with the Nigeria Data Protection Act 2023 and any subsequent regulations issued by the Nigeria Data Protection Commission (NDPC).

13. COMPLAINTS AND DISPUTE RESOLUTION

13.1 Users may lodge complaints via the internal complaints mechanism provided on the Platform. RideAlong shall make reasonable efforts to resolve disputes amicably.

13.2 Consumers may also seek recourse under the Federal Competition and Consumer Protection Act 2018 and may approach the Federal Competition & Consumer Protection Commission (FCCPC) as provided by law.

In the event of unresolved disputes, the matter shall be referred to arbitration under the Arbitration and Mediation Act 2023, with Abuja, Nigeria as the seat of arbitration, unless otherwise agreed. The arbitral award shall be final and binding on the parties.

14. TERMINATION AND SUSPENSION

(a) the User is in breach of these Terms;

(b) continued use poses a risk to safety or security;

(c) required by law or regulatory directive.

14.2 Termination shall be without prejudice to accrued rights and obligations existing prior to termination.

15. FORCE MAJEURE

RideAlong shall not be liable for failure or delay in performing its obligations where such failure arises from circumstances reasonably beyond its control, including but not limited to acts of God, strikes, government restrictions, civil unrest, internet outages, or pandemics.

16. GENERAL PROVISIONS

16.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16.2 Entire Agreement: These Terms, together with the Privacy Policy and other referenced documents, constitute the entire agreement between you and RideAlong.

16.3 Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment: Users may not assign or transfer rights or obligations under these Terms without prior written consent. RideAlong may assign its rights and obligations without restriction.

16.5 No Waiver: Failure by RideAlong to enforce any right shall not be construed as a waiver of such right.
